Distribution Agreement

This Distribution Agreement (“Agreement”) is entered into between PT Indonesian Digital Music Group (“Company”, “IDMG”) and the user/rights holder (“Artist”, “Label”, or “You”) who submits content for digital distribution using our services.

1. Definitions

“Content” refers to sound recordings, musical works, artwork, metadata, and any other materials you submit for distribution. “Platforms” refer to digital music services (DSPs) and stores where Content may be delivered.

2. Grant of Rights

You grant IDMG a non-exclusive, worldwide, royalty-bearing license to distribute, reproduce, publicly perform (as applicable), and make available your Content on Platforms for the purpose of providing the services under this Agreement.

3. Ownership & Warranties

• You confirm you own or control all rights necessary to grant the license above.
• You confirm your Content does not infringe any third-party rights.
• You agree that all information and metadata provided is accurate and up to date.

4. Delivery Lead Time & Platform Policies

IDMG will submit Content to Platforms in accordance with standard processing times. Platform acceptance, review, and go-live schedules are controlled by each Platform and may vary.

5. Royalties, Reporting & Payments

Royalties are calculated based on statements and reports received from Platforms. Payments are made according to IDMG’s payout schedule, applicable minimum thresholds, and selected payment method.

6. Content Takedown & Termination

You may request takedown of Content subject to processing time and Platform requirements. IDMG may suspend or terminate services if there is a breach of this Agreement or if Content violates Platform or legal policies.

7. Prohibited Content

• Content that infringes copyrights, trademarks, or privacy rights
• Fraudulent streaming activity or artificial manipulation
• Hate, illegal, or restricted content that violates Platform policies

8. Limitation of Liability

IDMG is not responsible for Platform decisions, delays, removals, or availability. To the extent permitted by law, IDMG shall not be liable for indirect, incidental, or consequential damages.

9. Changes to Services or Agreement

IDMG may update services, pricing, and/or this Agreement from time to time. Continued use of the services after changes are published constitutes acceptance of the updated Agreement.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Republic of Indonesia.
